2. Acceptance of Terms

By accessing or using Wellprepd ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

3. Service Description

Wellprepd is a meeting preparation and facilitation platform that helps teams prepare for, conduct, and follow up on meetings. The Service includes AI-powered preparation materials, real-time facilitation tools, and post-session summaries.

4. Access and Accounts

  • The Service is currently in private invite-only mode. Access is granted through invitations only.
  • You must provide a valid email address to create an account.
  • You are responsible for maintaining the confidentiality of your account.
  • You must be at least 16 years old to use the Service.
  • One person or entity may not maintain more than one account.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Use the Service for any illegal, harmful, or abusive activity.
  • Attempt to access accounts or data belonging to other users.
  • Upload malicious content, malware, or harmful files.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use automated tools to scrape, crawl, or extract data from the Service.
  • Impersonate another person or misrepresent your identity.
  • Use the Service in any way that could damage, disable, or impair it.

6. Content and Intellectual Property

  • Your content: You retain ownership of all content you create within the Service (agendas, notes, materials). By using the Service, you grant us a limited license to process this content to provide the Service.
  • Our content: The Wellprepd platform, brand, logo, and all software are the intellectual property of Overscale Solutions Oy. You may not copy, modify, or distribute them.
  • AI-generated content: Preparation materials generated by AI are provided as suggestions. You are responsible for reviewing and using them appropriately.

7. Privacy

Your privacy is important to us. Our use of your data is governed by our Privacy Policy. By using the Service, you consent to data practices described therein.

8. Psychological Safety Commitment

Wellprepd is designed around the principle of psychological safety. As part of our commitment:

  • We will never expose individual preparation progress to other users.
  • Anonymous features will remain anonymous — we do not provide "reveal" capabilities.
  • Host-facing statistics are always aggregate, never individual.
  • We will not introduce features that enable judgment, ranking, or surveillance of participants.

9. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted service.
  • We may perform maintenance with reasonable notice when possible.
  • We reserve the right to modify or discontinue features with reasonable notice.
  • During the private invite-only period, the Service may change significantly as we refine the experience.

10. Subscription and Payments

  • Current pricing and subscription tiers are available within the Service.
  • Prices are in Euros (EUR) and include applicable VAT for Finnish/EU customers.
  • Subscriptions renew automatically unless canceled before the renewal date.
  • Refunds are handled on a case-by-case basis in accordance with Finnish consumer protection law.

11. Termination

  • You may delete your account at any time through the Service settings.
  • We may suspend or terminate your account if you violate these terms.
  • Upon termination, your data will be handled according to our Privacy Policy.

12. Limitation of Liability

To the maximum extent permitted by Finnish law:

  • The Service is provided "as is" without warranties of any kind.
  • We are not liable for indirect, incidental, or consequential damages.
  • Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
  • AI-generated content is provided as-is. We do not guarantee its accuracy, completeness, or fitness for any particular purpose.

13. Governing Law

These terms are governed by the laws of Finland. Any disputes shall be resolved in the District Court of Espoo, Finland, unless mandatory consumer protection laws require otherwise.

14. Changes to Terms

We may update these terms from time to time. Material changes will be communicated at least 30 days in advance via the Service or email. Continued use after changes take effect constitutes acceptance.
